TERMS OF USE

Preamble

These Terms of Use (the "Terms") govern the access to and use of the public-facing websites and AI-assisted services operated by Stefano Cipriani Studio (the "Operator") under the Reeco® brand, including reeco.eco, ia.reeco.eco, and portal.reeco.eco, together with all associated language sub-domains and pages (collectively, the "Services").

By accessing the Services, the user ("User") agrees to be bound by these Terms. If the User does not agree, the User must not access or use the Services.

Important — separation of contracts. These Terms regulate informational and AI-assisted access to the Services. Paid use of the Reeco® SaaS Platform (Digital Product Passport issuance, supplier verification, mass balance computation) is governed by a separate Reeco® SaaS License Agreement executed at the time of subscription. In case of conflict between these Terms and the SaaS License Agreement, the SaaS License Agreement prevails for matters covered therein.

1. Definitions

  • "Operator" means Stefano Cipriani Studio, sole proprietorship, P.IVA IT02391280977, registered office Via Adriano Cecchi 30, 59100 Prato (PO), Italy, certified e-mail stefano.cipriani.studio@pec.it.

  • "Services" means, collectively: (a) the public marketing and informational website at reeco.eco and its 31 language sub-domains; (b) the AI assistance hub ia.reeco.eco, comprising the systems Reeco IA (RAG1), Reecopedia (RAG2) and Reeco Consumer (RAG3); (c) the public-facing landing page of portal.reeco.eco and its login interface; (d) ancillary endpoints such as /llms.txt, /sitemap.xml, /robots.txt and language redirection logic.

  • "Reeco® Platform" means the proprietary B2B SaaS application accessed at portal.reeco.eco after authentication, used by brands and supply-chain operators to issue Digital Product Passports, manage Transaction Certificates, run Mass Balance computations and apply cryptographic signatures. Use of the Reeco® Platform is subject to the separate SaaS License Agreement.

  • "User" means any natural or legal person who accesses or uses the Services, regardless of whether such access is paid, unpaid, anonymous, registered or authenticated.

  • "AI Output" means any text, summary, list, citation, code suggestion, translation, audio response or other content generated or returned by the AI components of the Services in response to a User input.

  • "Reeco® Intellectual Property" means the trademark Reeco® (registered in the jurisdictions and classes listed in Article 4 below), the source code and algorithmic implementation deposited with SIAE (Società Italiana degli Autori ed Editori) by the Operator, the published indices Durability Index, Repairability Index and Recyclability Index (Zenodo DOI 10.5281/zenodo.19206499), the Mass Balance Engine algorithm, the Truth Chain architecture, and all associated datasets, methodology documents, prompts, glossaries, embeddings, logos, designs and editorial content.

2. Scope and Acceptance

These Terms apply to all access to the Services. Access constitutes acceptance. Where a User acts on behalf of an organisation, the User warrants having authority to bind such organisation to these Terms.

The Operator may publish supplementary notices, disclaimers or terms applicable to specific Services (for example, AI-specific notices on ia.reeco.eco, login-screen notices on portal.reeco.eco). Such supplementary notices are incorporated into these Terms by reference and prevail over any general provision in case of conflict on the specific matter regulated.

These Terms do not regulate: (i) paid use of the Reeco® Platform — see the SaaS License Agreement; (ii) processing of personal data — see the Privacy Policy at reeco.eco/privacy/; (iii) cookies and tracking technologies — see the Cookie Policy at reeco.eco/privacy/.

3. AI Act Disclosure (EU Regulation 2024/1689)

Reeco IA, Reecopedia and Reeco Consumer are AI systems within the meaning of Regulation (EU) 2024/1689 (the "AI Act"). They operate as limited-risk generative-AI assistants based on retrieval-augmented generation (RAG) over curated corpora.

Transparency obligation under Article 50 AI Act. Users are hereby informed that they are interacting with an AI system. AI Output may contain inaccuracies, omissions, hallucinated citations or outdated information, and is not subject to human review prior to delivery.

No professional advice. AI Output does not constitute legal, regulatory, scientific, financial, medical or technical advice. AI Output must not be relied upon as the sole basis for any decision having legal, contractual, certification, customs, financial or human-safety consequences. Users are required to obtain qualified professional advice before acting on AI Output.

Knowledge boundaries. Reecopedia (RAG2) operates over a closed corpus of EU normative documents and does not access the open web. Reeco Consumer (RAG3) reads Digital Product Passports issued by third parties and assumes no responsibility for the accuracy of data published by such third-party brands. Reeco IA (RAG1) provides onboarding and tutorial guidance only and does not perform real-time verification operations.

No use as legal evidence. AI Output shall not be cited or produced as legal evidence in administrative, civil, criminal or arbitration proceedings, except as documentary evidence of the AI interaction itself (i.e. of the fact that an AI exchange took place), and not of the substantive accuracy of its content.

4. Intellectual Property and Trade Secrets

All Reeco® Intellectual Property is and remains the exclusive property of the Operator. No provision of these Terms grants the User any licence, right or title to the Reeco® Intellectual Property, except for the limited, revocable, non-exclusive, non-transferable right to access and view the Services for personal or internal business evaluation purposes.

Trade secrets. The Mass Balance Engine algorithm, the Truth Chain architecture, the prompt-engineering layer of the AI components and the curated knowledge corpora are protected as trade secrets under Directive (EU) 2016/943 and Italian Legislative Decree 11 May 2018, no. 63. Any attempt to extract, reverse-engineer, infer, replicate or document such trade secrets through scraping, prompt injection, model probing, jailbreaking or any analogous technique is strictly prohibited and shall constitute a misappropriation of trade secrets actionable in civil and criminal courts.

Trademarks. "Reeco®" is a registered trademark of the Operator. As of the effective date of these Terms, the trademark is registered in classes 24 and 25 of the Nice Classification in the European Union, the United Kingdom, Canada, the United States of America, Japan, Australia and Turkey; in the People’s Republic of China the trademark is registered in class 25 only; applications are pending in India in classes 24 and 25; applications were refused in the Republic of Korea and in the Federative Republic of Brazil. Use of the Reeco® mark, logo or visual identity — in any class and in any jurisdiction, including those in which a registration is not yet granted — for any commercial, editorial, training-dataset or comparative-advertising purpose is prohibited absent a written licence executed by the Operator. The Operator reserves the right to enforce its trademark rights through unfair-competition and passing-off remedies in jurisdictions where formal registration is not in force.

Software deposit. The source code and algorithmic implementation of the Reeco® system have been deposited with SIAE (Società Italiana degli Autori ed Editori) under the Italian copyright regime. The deposit constitutes evidence of authorship and date of creation; rights remain with the Operator under Italian Law 22 April 1941, no. 633 (as amended) and Directive 2009/24/EC on the legal protection of computer programs.

Indices. The Durability Index, Repairability Index and Recyclability Index are published in open-access form (Zenodo DOI 10.5281/zenodo.19206499) for academic and policy use under the licence stated in the deposit. Commercial use of the indices for compliance-as-a-service offerings competing with the Reeco® Platform requires a written licence.

5. Acceptable Use

Users shall not, directly or through automated agents:

  • access the Services through any means other than the user interfaces and APIs documented and authorised by the Operator;

  • use the Services to train, fine-tune, distil, evaluate, benchmark or improve any third-party machine-learning model, foundation model, agent or retrieval system, whether for commercial or non-commercial purposes, except with the prior written consent of the Operator;

  • scrape, crawl, mirror, archive or systematically copy substantial portions of the Services beyond the limits permitted by /robots.txt and /llms.txt;

  • attempt prompt injection, jailbreaking, system-prompt extraction, role-confusion attacks or similar adversarial techniques against the AI components;

  • upload, transmit or generate content that is unlawful, defamatory, infringing, misleading, harmful to minors, or that would expose the Operator to regulatory liability;

  • use the Services to issue, publish, sign or distribute Digital Product Passports outside the Reeco® Platform, or to mimic, simulate or counterfeit DPPs verified by Reeco®;

  • introduce malware, conduct denial-of-service, run security probes or attempt to bypass authentication of portal.reeco.eco;

  • misrepresent affiliation with the Operator, falsely claim Reeco® certification, endorsement or partnership.

Violation of this Article 5 entitles the Operator to suspend or terminate access to the Services without notice and to pursue all available legal remedies.

6. Disclaimers and "As Is" Provision

To the maximum extent permitted by applicable law, the Services are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, availability, uninterrupted operation or freedom from errors.

The Operator does not warrant that AI Output is accurate, current, complete or suitable for any particular regulatory jurisdiction or use case. Users acknowledge that the regulatory framework governing textile sustainability claims (including but not limited to Regulation (EU) 2024/1781 on Ecodesign, the Empowering Consumers Directive, the Green Claims Directive, CIRPASS-2 recommendations and forthcoming delegated acts) is subject to change, and that AI Output may not reflect the most recent legal position.

Specifically — without limitation — the Services do not constitute (i) a substitute for due diligence by a qualified legal counsel or compliance officer, (ii) an opinion on the validity of any Transaction Certificate, (iii) a binding interpretation of any EU regulation, (iv) financial, fiscal or investment advice, (v) a substitute for laboratory testing for the purpose of certification.

7. Limitation of Liability

To the maximum extent permitted by applicable law, the aggregate liability of the Operator under these Terms, whether in contract, tort (including negligence), strict liability, breach of statutory duty or otherwise, arising out of or in connection with the use of the Services, shall not exceed one hundred euros (EUR 100,00).

In no event shall the Operator be liable for: (i) any loss of profits, revenue, data, goodwill, business opportunity, regulatory clearance, certification status, customs determination, contractual benefit or anticipated savings; (ii) any indirect, incidental, consequential, special, exemplary or punitive damages; (iii) any damages arising from User decisions made on the basis of AI Output; (iv) any damages arising from User reliance on the Services in lieu of professional advice.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Italian or EU law, including liability for death or personal injury caused by gross negligence, for fraud, for intentional misconduct, or for liability under Article 1229 of the Italian Civil Code.

8. Modifications, Suspension and Termination

The Operator may modify these Terms at any time. Material modifications shall be notified through a notice on reeco.eco at least thirty (30) calendar days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the modified Terms.

The Operator may suspend or discontinue any portion of the Services, including specific language sub-domains, AI components or API endpoints, at any time and without prior notice, provided that material disruptions affecting paying subscribers of the Reeco® Platform shall be governed by the SaaS License Agreement.

The Operator may terminate access of any User who breaches these Terms, with immediate effect and without refund of any amounts paid (refund matters being governed exclusively by the SaaS License Agreement for the Reeco® Platform).

9. Governing Law, Jurisdiction and Language

These Terms are governed by Italian law, with the express exclusion of conflict-of-laws rules and of the United Nations Convention on Contracts for the International Sale of Goods (Vienna 1980).

Any dispute arising out of or in connection with these Terms — including disputes concerning their existence, validity, interpretation, performance or termination — shall be subject to the exclusive jurisdiction of the Courts of Prato, Italy.

The English-language version of these Terms is the master version and shall prevail in case of any inconsistency with translations published in other languages on the Reeco® language sub-domains. Translations are provided for convenience only and have no autonomous legal value.

Notices given by certified e-mail (PEC) shall be deemed received upon successful delivery confirmation. Notices sent by ordinary e-mail shall be deemed received only upon explicit acknowledgement by the recipient.
